CommitAI – Terms of Service

1. Acceptance of Terms
By accessing or using CommitAI’s platform and services, you agree to comply with and be bound by these Terms of Service (“Agreement”). If you do not agree to these terms, you are prohibited from using the platform and services. This Agreement is subject to change as outlined in Section 12 (Amendments).
2. Scope of Services
Commit Consulting Group LLC (“Commit”) provides an AI-powered Workday assistant (“CommitAI”) and the ability to seamlessly connect with Commit’s team of Workday consultants (“Commit Experts”). The Services encompass access to the platform, AI-driven recommendations, and the option to connect with Commit’s team of Workday experts. Specific services may be subject to additional terms and conditions, which shall govern your use thereof.
3. Eligibility and Account Creation
You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding contracts. To use CommitAI, you must create an account by providing accurate, current, and complete information as required during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4. User Obligations
You agree to:
(a) Provide accurate and complete information when creating an account.
(b) Maintain the security and confidentiality of your account credentials.
(c) Refrain from using the platform and services in any unlawful, disruptive, or malicious manner, including but not limited to interfering with the operation or security of the platform.
5. Service Usage
5.1 CommitAI
CommitAI is an AI-driven tool designed to assist users with their Workday questions by offering recommendations and support. While CommitAI provides suggestions based on user input, you are solely responsible for validating and testing the AI-generated recommendations before implementing them. Commit shall not be liable for any errors, omissions, or damages resulting from reliance on AI-generated recommendations.
5.2 Commit Experts
CommitAI facilitates the connection between Users and Commit’s team of Workday consultants (“Commit Experts”). The contractual relationship between you and Commit’s team of Workday consultants is governed by a separate agreement between you and Commit.
6. Payment and Fees
Fees for the usage of CommitAI are $299 per user per month (plus applicable state taxes) and are subject to change. You agree to pay all applicable fees associated with your use of the Services, as outlined on the platform at the time of use. For consulting engagements, payment terms shall be specified in a separate agreement between you and Commit.
6.1 Billing and Cancellation Terms
Invoicing for services will occur on the 1st of each calendar month, and payment is due within 30 days. The payment covers the services provided for the entirety of that calendar month. Any payments not received within 30 days may be subject to late fees or service interruptions as per the agreed-upon terms. If you wish to cancel your subscription, a cancellation notice must be provided at least 7 calendar days prior to the end of the current calendar month. Cancellation requests submitted after this period will be processed for the following month.
7. Intellectual Property
Commit retains exclusive ownership of all intellectual property rights associated with the CommitAI. You may not copy, modify, distribute, or create derivative works of any proprietary content without Commit’s prior written consent.
8. Confidentiality
You agree to keep confidential all non-public information provided during your use of the Services, including customer data, Workday configurations, and AI-generated outputs (“Confidential Information”).
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMMIT PROVIDES THE SERVICES “AS-IS” AND DISCLAIMS ALL LIABILITY FOR ANY DAMAGES, INCLUDING INDIRECT AND INCIDENTAL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
10. Termination
Commit reserves the right to suspend or terminate your access to the platform and Services if you violate any provision of this Agreement or engage in conduct that may harm the platform or other users. You may terminate your use of the Services at any time by closing your account. Upon termination, all rights granted to you under this Agreement will cease, and you agree to promptly cease using the Services.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the state in which Commit is headquartered, without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in the jurisdiction where Commit is located, unless otherwise agreed by the parties in the mutually signed MSA.
12. Amendments
Commit may modify or update these Terms at its discretion. Your continued use of the Services following any such changes constitutes your acceptance of the updated Terms.
